CORPORATE TERMS & CONDITIONS

VELTORI CATERING LİMİTED ŞİRKETİ ("VELTORI" or the "Company") delivers haute gastronomy, executive boardroom dining, and temperature-controlled logistics under these Corporate Terms and Conditions ("Terms").

These Terms define the general contractual framework governing our enterprise catering operations. They apply in conjunction with individual Enterprise Service Agreements, confirmed Commercial Quotations, and Order Confirmation Forms executed between the parties.

1. Contractual Hierarchy & Order of Precedence

In the event of any conflict or inconsistency between documents governing the service relationship, the following descending order of precedence shall strictly govern:

1. The duly signed Enterprise Service Agreement (physical or secure electronic signature),
2. The confirmed and finalized Order Confirmation Form / Service Schedule,
3. The accepted binding Commercial Quotation,
4. These general Corporate Terms and Conditions.

* Submitting web inquiry forms or requesting preliminary tastings constitutes an invitation to treat and does not create a binding service agreement until formalized by operational confirmation.

2. Service Standards & Menu Adjustments

VELTORI produces and delivers dining services in strict compliance with Turkish food legislation (Law No. 5996) and executive culinary governance.

Where seasonal procurement limitations, food-safety restrictions, or supply chain disruptions occur, VELTORI reserves the right to provide comparable ingredient or dish substitutions while strictly preserving culinary quality, dietary balance, and presentation standards.

3. Order Confirmation, Headcount Revisions & Cancellation

• Booking Confirmation: Recurring boardroom dining and catering engagements are confirmed pursuant to established central kitchen lead times specified in the commercial agreement.
• Headcount Reductions: Downward headcount adjustments must be submitted in writing prior to established kitchen preparation cutoffs. Where notices are provided past the cutoff window, the contracted minimum charge applies to cover fresh ingredient procurement and dedicated culinary capacity.
• Headcount Increases: Requests for additional covers are accommodated subject to operational capacity and invoiced at agreed rates.
• Cancellation Notice: Cancellations made outside statutory notice windows are subject to charges covering direct fresh ingredient sourcing costs and non-recoverable operational commitments.

4. Delivery, Inspection & Notice of Defects (TTK Art. 23)

Pursuant to Article 23 of the Turkish Commercial Code (Law No. 6102), corporate buyers are obligated to inspect delivered goods upon receipt:

• Inspection Upon Delivery: Quantity, thermal integrity, packaging condition, and visual conformity must be verified at the moment of handover, followed by execution of the delivery dispatch slip.
• Immediate Notice Requirement: Owing to the perishable nature of culinary items, apparent defects or delivery discrepancies must be notified in writing immediately upon delivery. Items consumed without immediate notice shall be deemed fully accepted in good order.
• Facility Access: VELTORI is not liable for service delivery delays caused by client facility access bottlenecks, security delays, or service elevator unavailability.

5. Catering Equipment & Hardware Custody

Active thermal containers, fine tableware, presentation serviceware, and display hardware temporarily staged at client premises remain the exclusive property of VELTORI. The client holds custody of such hardware and shall exercise prudent commercial care against loss or damage until collection. Damaged or unreturned hardware will be billed at current replacement value.

6. Food Safety & Dietary Data Management (KVKK Compliance)

VELTORI maintains mandatory retained witness food samples from production batches in compliance with statutory food-safety regulations.

Executive dietary restrictions, allergen profiles, and intolerances must be communicated in writing during order confirmation to ensure appropriate cross-contamination preventive controls.

* Dietary and allergen information is processed strictly for safe meal preparation and vital health protection under Law No. 6698 (KVKK) and our Privacy & Data Protection Policy.

7. Corporate Invoicing & Payment Terms

Services rendered are invoiced electronically (e-Fatura / e-Arşiv) by VELTORI CATERING LİMİTED ŞİRKETİ with applicable statutory VAT added pursuant to Turkish tax legislation. Settlements occur via corporate bank wire transfer within agreed contractual credit schedules.

8. Intellectual Property & Commercial Confidentiality

The VELTORI trademark, rotational menu architectures, recipe compilations, and digital collateral are protected under Law No. 5846. Both parties agree to maintain strict commercial confidentiality regarding negotiated pricing, operational structures, and proprietary business information.

9. Subcontractors & Authorized Logistics

VELTORI reserves the right to utilize certified third-party specialized logistics and refrigerated transport partners, while retaining primary responsibility for service standards and food-safety compliance.

10. Limitation of Liability & Force Majeure

To the maximum extent permitted under applicable Turkish law, VELTORI's contractual liability for direct damages shall not exceed the total net invoice value of the specific order giving rise to the claim. Liability for indirect, special, or consequential loss of profit is expressly excluded.

Neither party shall be held liable for performance delays arising from force majeure events, including extreme climatic disruptions, bridge closures, general civil transit blocks, or emergency statutory bans.

11. Governing Law, Jurisdiction & Prevailing Language

These Terms shall be construed and governed exclusively by the laws of the Republic of Türkiye. Pursuant to Article 17 of the Turkish Code of Civil Procedure (HMK), the Courts and Enforcement Directorates of Istanbul (Büyükçekmece) shall have exclusive jurisdiction over disputes between commercial merchants.

In the event of any linguistic divergence or interpretive dispute between the Turkish and English texts, the Turkish version shall prevail.
